茲就鴻利智匯集團(tuán)股份有限公司（以下簡(jiǎn)稱“我公司”）與廣州市鴻利智顯科技有限公司（以下簡(jiǎn)稱“鴻利智顯”）及江蘇恒烽顯示科技有限公司（以下簡(jiǎn)稱“江蘇恒烽”）之關(guān)系，我公司特此聲明如下：

 

based on relationship between Hongli Zhihui Group Co., Ltd. (hereinafter referred to as "our company") and Guangzhou Hongli Suntec Technology Co., Ltd. (hereinafter referred to as " Hongli Suntec ") and Jiangsu Hengfeng Suntec Technology Co., Ltd. (hereinafter referred to as " "Jiangsu Hengfeng Suntec"), our company hereby declares as follows.

 

一、目前我公司雖為鴻利智顯的參股股東，持有鴻利智顯25%的股權(quán)，但我公司并未實(shí)際參與鴻利智顯經(jīng)營(yíng)管理，并計(jì)劃退出鴻利智顯股權(quán)。

 

1. At present, although our company is a shareholder of Hongli Suntec and holds 25% of the shares of Hongli Suntec, our company has not actually participated in the operation and management of Hongli Suntec, and plans to withdraw from the equity of Hongli Suntec.

 

二、鴻利智顯拖欠我公司多筆款項(xiàng)，且存在損害我司股東知情權(quán)等行為，我公司已依法通過訴訟等方式向鴻利智顯主張合法權(quán)利。我公司擬不再與鴻利智顯進(jìn)行任何業(yè)務(wù)合作。鴻利智顯不得使用我公司或我公司關(guān)聯(lián)公司的名義進(jìn)行任何對(duì)外宣傳活動(dòng)、承攬業(yè)務(wù)或開展任何商業(yè)活動(dòng)，也不得使用我公司的商標(biāo)、商號(hào)及相關(guān)資料等。后續(xù)鴻利智顯如有任何侵犯我公司合法權(quán)益的行為，我公司保留依法追究法律責(zé)任的合法權(quán)利。

 

2. Hongli Suntec defaulted on multiple sums of payment to our company, and has infringed our shareholders' right to know, etc. Our company has claimed legal rights to Hongli Suntec through litigation and other methods in accordance with the law. Our company intends not to conduct any business cooperation with Hongli Suntec. Hongli Suntec shall not use the name of our company or our company's affiliates to conduct any external publicity activities, contract business or carry out any commercial activities, nor use our company's trademarks, trade names and related information. If Hongli Suntec infringes on the legitimate rights and interests of our company in the follow-up, our company reserves the legal right to pursue legal liabilities in accordance with the law.

 

三、我公司與江蘇恒烽（法定代表人為馬廷永）無任何關(guān)聯(lián)關(guān)系，并且無任何業(yè)務(wù)往來。江蘇恒烽及其法定代表人不得使用我公司或我公司關(guān)聯(lián)公司的名義進(jìn)行任何對(duì)外宣傳活動(dòng)、承攬業(yè)務(wù)或開展任何商業(yè)活動(dòng)，也不得使用我公司的商標(biāo)、商號(hào)及相關(guān)資料等。相關(guān)主體實(shí)施的行為所造成的一切后果將由該實(shí)施主體承擔(dān)。如有任何侵犯我公司合法權(quán)益的行為，我公司保留依法追究法律責(zé)任的合法權(quán)利。

 

3. Our company and Jiangsu Hengfeng Suntec (the legal representative is Tingyong Ma) do not have any associated relationship and do not have any business contacts. Jiangsu Hengfeng Suntec and its legal representative shall not use the name of our company or our company's affiliates to conduct any external publicity activities, contract business or carry out any commercial activities, nor use our company's trademarks, trade names and related information. All consequences caused by the actions performed by the relevant subject will be borne by the implementing subject. If there is any violation of the legal rights and interests of our company, our company reserves the legal right to pursue legal liabilities in accordance with the law.
